This page (together with the documents referred to on it) tells you the terms on which you may make use of our website, whether as a visitor, Registerd User or as a Member. This Site is operated by Social Republic Limited.
The English language version of this document remains the legally binding document. Translations from English are for convenience only. In the event of any conflict between a translation of this document and the English language document, it is the English language document which takes precedence.
"Applicant" means a Member who has registered interest (applied) for one or more Places at an Event.
"Content Standards" means our Content Standards and Prohibited Uses document which is available on the Site.
"Event" is a physical meeting arranged by an Organiser for Guests at a Venue.
"Full Membership" is another name for Premium membership.
"Guest" means a Member with a Place at an Event as allocated by an Organiser.
"Member" means a Registered User who has paid a Subscription.
"Organiser" means a Member who organises an Event.
"Place" is a term used to describe the acceptance by the Organiser for the Member to have a seat at an Event.
"Premium Event" is an event created under the Premium subscription category.
"Premium Membership" is a Subscription at the Premium level, giving access to Premium Events.
"Registered User" is a user who has access to some functions on the Site through registering and activating their account.
"Site" means the website and its contents operated by Social Republic Ltd. as accessed by the user.
"Standard Membership" means a subscription that is not at the Premium Membership level.
"Subscription Fee" means the sum payable by a Member to maintain their Subscription as set out in our membership page.
"Subscription Payment Date" means the day payment of the Subscription Fee becomes due.
"Subscription" means a subscription to the Site that allows the Member the benefits for the period set out in our membership page.
"Venue" means a venue for an Event including but not limited to restaurants, private homes, business premises and/or public areas.
"We", "us" or "our" is a reference to Social Republic Limited, registered in England and Wales under company number 06444641 and whose registered address is International House, 776-778 Barking Road
Barking, London E13 9PJ, United Kingdom.
"You" or "your" is a reference to you as a visitor to the Site, Registered User or Member.
2. Accessing the Site
2.1 Access to the Site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on the Site without notice.
2.2 Access to the Site is not permitted by minors and the age of minority may vary from country to country. By using the Site in anyway whatsoever, you represent and warrant that you are not a minor and if you are accessing the Site from the United Kingdom you are at least 18 years of age.
2.3 We will not be liable if for any reason the Site is unavailable at any time or for any period.
2.4 Some parts of the Site are restricted to Registered Users or Members.
2.5 On registering you will provide a password which you must treat as confidential, and you must not disclose it to any third party.
4.1 Through the Site we provide tools that enable Organisers to arrange Events.
4.2 Organisers may host Events for commercial gain.
4.3 Organisers may choose to charge Guests for Places.
4.4 Organisers may require payment for Places:
(a) before the Event; and / or
(b) at the Event; and / or
(c) after the Event.
4.5 We do not supervise or control the Events and we are not involved in any way with the actions of any individuals at the Events.
5.1 In order to become a Member, Registered Users are required to hold a Subscription.
5.2 Payment for the Subscription Fee will be processed through the PayPal Automatic Billing system on the Subscription Payment Date until the Subscription is cancelled under clause 6.
5.3 We reserve the right to vary the Subscription Fee on giving no less than 30 days notice to Members.
5.4 We reserve the right to adjust the Subscription Payment Date to allow for end of month differences.
6. Cancellation of Subscription
6.1 Members may cancel their Subscription at any time by cancelling the recurring payment through the site or theiir PayPal account.
6.2 If the automatic payment of the Subscription Fee fails for any reason it shall be deemed to be a cancellation of the Subscription.
Guests understand and agree to the following terms and conditions:
(a) We are not affiliated with any Organiser or any Event.
(b) We are acting solely as a provider of a mechanism (the Site) that allows listing of events and communication between the Organisers and the Members for the organisation of Events.
(c) We assume no liability arising from or in connection with any Event for which you purchase Places or attend.
(d) Guests assume all risks associated with attendance at Events.
(e) We give no guarantee as to the lawfulness of any Event and we accept no liability in this regard.
The Organiser has absolute discretion as to whether to accept your booking for an Event.
(a) Organisers may require Guests to pay for Places prior to the Event or directly to them or at the time of the event. Such payments are outside of our control and are at your own risk.
(b) You acknowledge that Social Republic does not control any part of the payment between Guests and Organisers and that you bear all risk in connection with any transaction.
(c) You should use common sense and be careful in deciding whether to make a payment to an Organiser. Organisers have full discretion whether and how to spend money in connection with an Event.
7.4 Cancellations by Organisers
(a) Organisers or others outside the control of Social Republic may cancel or reschedule Events.
(b) Except for cancellations to which clause 7.4(c) applies it is at the discretion of the Organiser as to whether they refund the Ticket price should a cancellation occur.
(d) If a Guest does not satisfy an Organiser's pre-payment instructions it is at the discretion of the Organiser as to whether they remove the Guest from the guest list and Guests understand and agree that we have no control over Organisers and any dispute regarding the cancellation of a Place is to be dealt with directly between the Guest and the Organiser.
Event Place prices are set by the Event Organiser and not by us.
7.6 Refunds and Cancellations by Guests
(a) All completed bookings are final. In the event of the Guest cancelling a Place it is at the absolute discretion of the Organiser as to whether or not to issue a refund.
(b) Refunds of any payments made to any Organiser are subject to that Organiser's policies and applicable law. If you believe any payment to an Organiser is in error, you must contact the Organiser to seek resolution.
(c) If you cancel your booking you accept that the Organiser may resell the place(s) to another Member.
(a) All aspects of the Events are organised by the Organisers and not by us. We are not responsible for Guest dissatisfaction with any aspect of an Event.
(b) Complaints about Events should be directed to the Organiser and not to us.
(c) Guests may leave feedback about the Organiser and the Event on the Organiser's profile page after an Event however Guests should note that we reserve the right to remove any feedback for any reason whatsoever.
Organisers understand and agree to the following terms and conditions:
8.1 Event Promotion and Advertising
It is the sole responsibility of the Organiser to promote and/or advertise their Event. Social Republic is under no obligation to promote or advertise Events.
8.2 Event Pricing
Place pricing is solely determined by the Organiser. The Organiser is exclusively responsible for any and all taxes that may be associated with the sale of each Place.
8.3 Event Cancellations and Variations
(a) The Organiser agrees to notify their Guests immediately after a decision to cancel or vary an Event is made.
(b) In the event of a cancellation of an Event advertised on the Site to which Guests have bought Places or paid a deposit the Organiser agrees to promptly give the Guests a full refund.
(c) In the event of a variation of an Event advertised on the Site to which Guests have bought Places or paid a deposit and which leads to a cancellation of a Place the Organiser agrees to promptly give the Guest a full refund.
8.4 Ticket Refund Policy
Subject to clauses 8.3(b) and 8.3(c) Organisers have absolute discretion as to their refund policy.
(a) Guests have the ability through the Site to leave feedback on an Organisers' profile after an Event.
(b) Organisers may report to us any feedback they wish to be removed from their profile and we may in our absolute discretion remove such feedback.
(c) We accept no responsibility for any feedback left on an Organiser's profile by a Guest and it will be for the Organiser to decide whether such feedback should be reported to us.
8.6 No Agency or Partnership
(b) Organisers shall not have authority to act as agent for, or to bind, us in any way.
8.7 Additional Fees
Organisers agree that any costs associated with an Event are to be clearly and accurately stated in the description of the Event and that that they will not charge any Member any separate administration, membership or similar fees in excess of the Event Place price.
8.8 Transaction Charges
The Organiser is exclusively responsible for the method of receiving payments and any transaction charges associated with the sale of each Place and for refunds for cancellations to which clauses 8.3(b) and 8.3(c) apply.
8.9 Links to other sites
Organisers agree to not include links to third party sites in the information about an Event. We reserve the right to remove any links without notice.
9.1 Ownership of Intellectual Property
Members agree not to post material on to the Site that the Member does not have an ownership right of patent, copyright, and/or other intellectual property right to. We reserve the right to remove any content from the Site that may infringe on the intellectual property rights of a third party.
9.3 Removal of Events
10.1 Communications from Us
As a Member of the Site you understand that certain communications, such as service announcements and newsletters, are part of the Site. By using the Site, you expressly agree to receive such communications from us. You may manage your receipt of many our communications in your account however, some basic communications are a necessary part of the Site and may not be disabled.
10.2 Communications with Members of the Site
(a) As a Member of the Site you understand and agree that you may receive communications from the Site that are originating from other Members.
(b) As an Organiser you understand and agree that you may receive communications from Applicants or Guests of an Event.
(c) As a Guest, Applicant or Member nominated to attend an Event you understand and agree that you may, prior to the Event, receive communications from the Organiser of the Event.
(d) The communication will be sent to your email address through the Site.
(e) All communications through the Site must adhere to our Content Standards.
11 Uploading material to the Site
11.1 Whenever you make use of a feature that allows you to upload material to the Site, or to make contact with other Members of the Site, you must comply with our Content Standards. You warrant that any such contribution does comply with those standards, and you indemnify us for any breach of that warranty.
11.2 Any material you upload to the Site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the Site constitutes a violation of their intellectual property rights, or of their right to privacy.
11.3 We have the right to remove any material or posting you make on the Site if, in our opinion, such material does not comply with the Content Standards.
12 Links from the Site and Third Party Advertisements
12.1 Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.
12.2 Where the Site contains third party advertising, such advertising does not represent an endorsement by us of either the products or services advertised, nor an endorsement of the company or organisation associated with those products or services. We have no control over third party advertisers or their products or services and accept no responsibility for any loss or damage that may arise from your use of them.
The Site uses payment services provided by PayPal. We have no control over PayPal or any transactions through PayPal or the PayPal system. Any use of PayPal or the PayPal system is subject to the terms and conditions, acceptable usage and privacy policies of PayPal. Further information on PayPal can be found at http://www.paypal.com.
14.1 We do not control the information provided by Members on the Site.
14.2 We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by any Member on the Site.
14.3 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site or to your downloading of any material posted on it, or on any website linked to it.
15 Exclusion and Limitation of Liability
15.1 To the extent permitted by law, we hereby expressly exclude:
(a) all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity; and
(b) any liability for any direct, indirect or consequential losses or damages including but not limited to:
(i) loss of income or revenue,
(ii) loss of business,
(iii) loss of profits or contracts,
(iv) loss of anticipated savings,
(v) loss or corruption of data,
(vi) loss of goodwill,
(vii) wasted management or office time,
(viii) damages for disappointment or inconvenience, and,
any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.
15.2 This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.
16 Jurisdiction and applicable law
